Terms of Service

These Terms of Service (the “Terms”) are a binding agreement between you and docu(“we,” “us”), which operates the docu website and tools (the “Service”). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. What docu is
docu is a self-service, in-browser tool that inspects a PDF and applies mechanical formatting fixes (for example, adding a text layer, flattening form fields, normalizing page size, generating bookmarks, and removing metadata) so the file is more likely to meet a court's technical e-filing requirements. Your document is processed on your own device and is not uploaded to or stored on our servers.
2. docu is not legal advice
docu is a file-formatting utility, not a law firm, and using it does not create an attorney-client relationship. docu does not review the merits of your case, tell you what or when to file, or provide legal advice of any kind. Court rules, deadlines, and acceptance decisions are outside our control and are solely your responsibility. If you need legal advice, consult a licensed attorney, and always confirm current requirements directly with your court.
3. No guarantee of acceptance
We do not and cannot guarantee that a document processed with docu will be accepted by any court, clerk, or e-filing system, or that it is free of errors. Clerks and systems exercise discretion, requirements change, and some issues cannot be fixed automatically. You are solely responsible for reviewing the output, meeting your own filing deadlines, and confirming that your filing is complete and correct before you submit it.
4. Eligibility and acceptable use
You must be at least 18 years old, or the age of majority where you live, to use the Service, and you must use it only for lawful purposes. You agree that you will not:
- Process any file you do not have the legal right to use and modify.
- Use the Service for any unlawful, infringing, fraudulent, or harmful purpose.
- Reverse engineer, decompile, or attempt to extract the source code of the Service.
- Circumvent security or authentication, or probe or test the vulnerability of the Service.
- Upload malicious code or interfere with or disrupt the Service or its infrastructure.
- Scrape or use automated means to access the Service beyond ordinary use, or exceed the usage limits of your plan.
- Impersonate any person or misrepresent your affiliation with anyone.
You are responsible for your account credentials and all activity under your account, and for independently verifying all output and all court requirements and deadlines.
5. Accounts and payments
Some features require an account, which is provided through our third-party authentication provider. Paid features, if offered, are billed through our third-party payment processor; by purchasing, you authorize the applicable charges. Except where required by law, fees are non-refundable. We may change features and pricing at any time.
6. Disclaimer of warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY OUTPUT WILL MEET ANY COURT OR LEGAL REQUIREMENT. YOU USE THE SERVICE AT YOUR OWN RISK.
7. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL docu OR ITS OWNERS, CONTRACTORS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, REJECTED OR LATE FILINGS, MISSED DEADLINES, OR LEGAL RIGHTS OR CLAIMS, ARISING OUT OF OR RELATING TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).
These limitations and the disclaimers above are an essential basis of the bargain between you and us and reflect a reasonable allocation of risk. The Service is offered at its price, including for free, in reliance on them, and they apply even if a remedy is found to fail of its essential purpose.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.
8. Indemnification
You agree to indemnify and hold harmless docu and its owners from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your documents or filings, or your violation of these Terms or of any law or third-party right.
9. Intellectual property
The Service, including its software, design, and content, is owned by docu and protected by law. You keep all rights to your own documents. We grant you a limited, revocable, non-exclusive license to use the Service for its intended purpose.
If you send us feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them for any purpose, without restriction or any obligation to you.
10. Third-party services
The Service relies on third parties for authentication, payments, database, and hosting. We are not responsible for third-party services, and your use of them may be subject to their own terms.
11. Termination
We may suspend or terminate access to the Service at any time, with or without notice. Sections that by their nature should survive termination (including disclaimers, limitation of liability, and indemnification) will survive.
12. Governing law and disputes
These Terms are governed by the laws of the place where the operator of docu is located, without regard to conflict-of-laws rules. To the extent permitted by law, any claim relating to the Service must be brought within one year of the event giving rise to it.
Before bringing any claim, you agree to first attempt to resolve it with us informally by contacting us. To the extent permitted by law, you and we agree that any dispute will be brought only in an individual capacity, and not as a plaintiff or class member in any class or representative proceeding.
13. General
These Terms, together with our Privacy Policy, are the entire agreement between you and us regarding the Service and supersede any prior agreements. If any provision is held unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them freely. These Terms create no third-party beneficiary rights. We are not liable for any delay or failure to perform caused by events beyond our reasonable control. Provisions that by their nature should survive termination (including disclaimers, limitation of liability, and indemnification) will survive.
You consent to receive communications and records from us electronically, and you agree that electronic agreements, notices, and records satisfy any legal requirement that such communications be in writing.
14. Changes
We may update these Terms from time to time. The “Last updated” date reflects the current version, and continued use of the Service after changes means you accept them.
